Welcome to IMC SOSIMPLE BRANDS LTD (“Company,” “SoSimple,” “we,” “our,” or “us“). These Terms of Use (“Terms“) govern your access to and use of the website located at https://sosimple.co.il (the “Website“) and any related services, features, content, courses, or programs we offer through it (collectively, the “Services“).

By accessing or using the Website or any of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website or the Services.

2. Not Affiliated with Amazon

SoSimple is an independent service provider. We are not affiliated with, endorsed by, sponsored by, or officially connected to Amazon.com, Inc. or any of its subsidiaries or affiliates. “Amazon,” “Amazon Seller Central,” “FBA,” and related names and logos are trademarks of Amazon.com, Inc. Our use of these names is purely descriptive to indicate the nature of the services we provide and the subject matter of our educational content.

3. Scope of Services

Through the Website, we offer two primary categories of Services:

(a) Amazon Account Management Services. Professional services related to the management, optimization, and growth of Amazon seller accounts, including but not limited to account operations, listing optimization, inventory and FBA coordination, advertising (PPC) management, and related advisory services. The engagement of these paid services is governed by a separate written agreement (“Service Agreement“) entered into between the client and the Company.

(b) Educational Content and Courses. Online courses, training programs, workshops, mentorship, community access, and related educational materials focused on Amazon commerce and related topics (collectively, the “Academy“). Access to the Academy is governed by these Terms and by any specific program terms provided at the time of enrollment.

In the event of any conflict between these Terms and a specific Service Agreement or program terms, the more specific written agreement shall prevail with respect to the applicable services.

4. Eligibility

To use the Services, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher;
  • Have the legal authority to enter into a binding agreement;
  • Not be prohibited from receiving the Services under the laws of the State of Israel, your country of residence, or any other applicable jurisdiction;
  • For Amazon Account Management Services: hold a valid and active Amazon Seller Central account.

5. No Guarantees

We explicitly do not guarantee any specific sales, revenue, rankings, profit, Buy Box ownership, conversion rate, or other business outcome on Amazon, whether you engage our management services or enroll in our Academy. Amazon is an independent platform, and results depend on numerous factors outside our control, including but not limited to product quality, pricing, competition, Amazon’s policies and algorithms, market conditions, your individual effort and skill, and customer behavior.

Testimonials, case studies, and examples displayed on the Website reflect the experience of specific individuals or businesses and are not typical or guaranteed outcomes. Your results may vary.

We commit to professional execution, operational consistency, and the delivery of educational content based on industry best practices. We do not commit to specific financial or commercial results.

6. Academy — Courses, Enrollment, and Access

6.1 Enrollment and Access

Upon successful enrollment and payment for an Academy program, you will be granted a limited, personal, non-exclusive, non-transferable, and non-sublicensable license to access the applicable course content for the duration and on the terms specified for that program.

6.2 Personal Use Only

Access to the Academy is strictly personal. You agree not to:

  • Share your login credentials with any other person;
  • Allow any third party to access, view, download, or otherwise use the course content using your account;
  • Record, reproduce, distribute, publish, transmit, broadcast, or create derivative works from any course content in any form or medium;
  • Use the course content, in whole or in part, to create competing educational products or services;
  • Use the course content for any commercial purpose other than your own individual business operations.

Violation of this section may result in immediate termination of your access without refund and may expose you to civil and criminal liability for intellectual property infringement.

6.3 Intellectual Property in Course Content

All course content — including but not limited to videos, audio recordings, written materials, slide decks, templates, worksheets, software, graphics, and community contributions from the Company — is the exclusive property of IMC SOSIMPLE BRANDS LTD or its licensors and is protected by copyright, trademark, and other intellectual property laws. No ownership rights are transferred to you by virtue of your enrollment.

6.4 Educational Purpose Only — Not Professional Advice

All Academy content is provided for educational and informational purposes only. It does not constitute legal, financial, tax, investment, accounting, or other professional advice. You should consult with qualified professionals before making any business decisions based on the content.

6.5 Payment, Refunds, and Cancellation

Enrollment fees are due in full at the time of enrollment, unless a payment plan is expressly offered and agreed upon. All fees are in the currency specified at checkout and are inclusive or exclusive of applicable taxes as indicated.

Your rights with respect to cancellation and refunds are governed by applicable Israeli consumer protection law, including the Consumer Protection Law, 5741-1981 and the Consumer Protection Regulations (Cancellation of Transaction), 5771-2010, as amended from time to time. In addition to any statutory rights, specific refund terms for each program will be published at the point of enrollment.

Once you have accessed a substantial portion of the course content (as defined at the time of enrollment), your right to cancellation may be limited to the extent permitted by law.

6.6 Program Changes

We reserve the right to modify, update, or discontinue course content, platforms, or delivery methods at any time, provided that such changes do not materially reduce the overall value of the program as a whole.

7. Use of the Website

You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. You agree not to:

  • Use the Website in any way that violates applicable law or regulation;
  • Attempt to gain unauthorized access to any portion of the Website, our servers, the Academy platform, or any systems connected to them;
  • Use automated means (bots, scrapers, crawlers) to access or collect data from the Website without our prior written consent;
  • Introduce viruses, malware, or any other malicious code;
  • Interfere with or disrupt the operation of the Website or the servers on which it is hosted;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Reverse engineer, decompile, or disassemble any portion of the Website or the Academy platform;
  • Use any content from the Website or Academy for commercial purposes without our express written permission.

8. Intellectual Property

All content on the Website and within the Academy — including text, graphics, logos, images, videos, audio, software, course materials, templates, designs, and the selection and arrangement thereof — is the property of IMC SOSIMPLE BRANDS LTD or its licensors and is protected by Israeli and international copyright, trademark, and other intellectual property laws.

Except as expressly granted in these Terms (including the limited license granted under Section 6.1), you are granted a limited, non-exclusive, non-transferable, revocable license to access and view publicly-available portions of the Website for personal, non-commercial purposes only. No other rights are granted. Any unauthorized use terminates this license immediately.

“SoSimple” and associated logos are trademarks of IMC SOSIMPLE BRANDS LTD. You may not use them without our prior written consent.

9. User-Submitted Content

If you submit any information, feedback, suggestions, questions, testimonials, community posts, or other content to us through the Website or the Academy (collectively, “User Content“), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating, promoting, and improving our Services.

You represent and warrant that any User Content you submit: (a) is your original creation or you have obtained all necessary rights to submit it; (b) does not violate any third-party rights, including intellectual property or p

rivacy rights; and (c) is not unlawful, defamatory, harassing, or otherwise objectionable.

We reserve the right, but not the obligation, to monitor, edit, or remove any User Content at our sole discretion.

10. Third-Party Links and Services

The Website and Academy may contain links to third-party websites or services (including Amazon). These links are provided for convenience only. We do not control, endorse, or assume responsibility for any third-party websites, services, or content. Your use of any third-party website or service is at your own risk and subject to the terms and policies of that third party.

11. Privacy

Your use of the Website and Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Website or the Services, you consent to our collection and use of information as described in the Privacy Policy.

12. Disclaimer of Warranties

THE WEBSITE, THE ACADEMY, AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the Website or Academy will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content on the Website or within the Academy.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall IMC SOSIMPLE BRANDS LTD, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the Website, Academy, or Services, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or in connection with the Website or the Academy shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim for the specific Service giving rise to the claim, or (b) one hundred US dollars (USD 100).

Liability arising under a separate Service Agreement for Amazon Account Management Services is governed by that agreement.

Nothing in these Terms limits any liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless IMC SOSIMPLE BRANDS LTD and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Website, Academy, or Services; (b) your breach of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any unauthorized sharing or distribution of course content.

15. Modifications to the Services and Terms

We reserve the right to modify, suspend, or discontinue the Website, the Academy, or any part of the Services at any time, with or without notice, subject to Section 6.6 for Academy programs.

We may update these Terms from time to time. The updated version will be indicated by a revised “Last Updated” date at the top of this page. Material changes will be communicated through a prominent notice on the Website or by email to registered users. Your continued use of the Website or Services after any changes constitutes your acceptance of the revised Terms.

16. Termination

We may suspend or terminate your access to the Website, the Academy, or any Services at any time, without notice, if we believe you have violated these Terms, engaged in unauthorized sharing of course content, or for any other reason at our sole discretion. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing law.

Termination for cause (including breach of Section 6.2) does not entitle you to any refund.

17. Governing Law and Jurisdiction

These Terms, and any dispute arising out of or in connection with them, the Website, the Academy, or the Services, shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws principles.

You agree that any dispute, claim, or proceeding arising out of or in connection with these Terms, the Website, the Academy, or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv-Jaffa, Israel, and you hereby consent to the personal jurisdiction and venue of such courts.

18. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, any applicable Service Agreement, and any program-specific terms for the Academy, constitute the entire agreement between you and us regarding your use of the Website and the Services, and supersede any prior agreements.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms at any time without notice or consent.

No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.

Language. These Terms are provided in English for the purpose of international accessibility and compliance requirements. Where a Hebrew version is made available, in case of any conflict between the versions, the Hebrew version shall prevail for users residing in Israel; the English version shall prevail for all other users.
